Terms of Service

Effective date: June 1, 2026

These Terms of Service ("Terms") govern your access to and use of coThink, including our websites, applications, APIs, collaboration rooms, guided sessions, personal advisor features, administration tools, integrations, and related services (collectively, the "Services").

By creating an account, joining a workspace, accepting an invitation, or otherwise using the Services, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent. If you do not agree to these Terms, you may not use the Services.

1. Acceptance of Terms

By accessing or using coThink, you agree to be bound by these Terms and any policies referenced herein.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to create an account or use the Services.

2. Privacy

Your use of the Services is also governed by the coThink Privacy Policy, which describes how information is collected, used, stored, and disclosed.

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

3. Accounts and Workspaces

You are responsible for:

  • Maintaining accurate account information.
  • Protecting passwords, passkeys, recovery methods, API keys, and authentication credentials.
  • Managing access to your devices and accounts.
  • Ensuring authorized use of workspace resources.

Workspace owners and administrators are responsible for:

  • User invitations and access management.
  • Role assignment and permissions.
  • Configuration of integrations and connected providers.
  • Data retention settings and export practices.
  • Compliance with applicable laws and regulations.

You are responsible for all activity occurring under your account or workspace unless caused by coThink's unauthorized actions.

4. Customer Content and Data

You retain ownership of all prompts, messages, files, workspace data, decisions, configurations, exports, and other content submitted to or generated within your workspace ("Customer Content").

You grant coThink a limited, worldwide, non-exclusive license to host, process, transmit, display, secure, back up, and otherwise use Customer Content solely as necessary to provide, maintain, secure, and improve the Services, including the deidentified improvement processes described in Section 5.

You are solely responsible for:

  • The legality of Customer Content.
  • Obtaining rights and permissions necessary to submit Customer Content.
  • Compliance with applicable laws governing Customer Content.

5. Platform Engine Improvement and Deidentified Data

coThink operates internal platform-improvement processes designed to improve routing, facilitation, memory systems, workflow systems, recommendations, operational intelligence, and other platform capabilities.

During off-peak periods, coThink may process workspace activity using deidentified or pseudonymized information. coThink uses commercially reasonable technical and organizational measures intended to reduce the ability to identify individual users, organizations, or workspaces.

Deidentified signals may be aggregated across customers and subject to privacy thresholds designed to reduce re-identification risk before broader platform use.

This processing is used solely to improve coThink's own platform capabilities and services.

coThink does not use Customer Content through this program to train third-party foundation models or third-party AI systems.

6. AI Providers, Outputs, and Human Review

coThink may connect to AI providers selected, configured, or authorized by you or your organization.

These providers may maintain separate:

  • Terms of service
  • Privacy policies
  • Retention practices
  • Security controls
  • Pricing models
  • Usage limits

Customers are responsible for selecting, configuring, evaluating, and monitoring connected providers.

Customers are responsible for determining whether connected providers satisfy their legal, regulatory, privacy, security, contractual, and operational requirements.

AI-generated content may be inaccurate, incomplete, biased, misleading, unsafe, or unsuitable for your intended use.

You are responsible for reviewing outputs before relying upon them, particularly for:

  • Legal matters
  • Medical matters
  • Financial decisions
  • Tax matters
  • Employment decisions
  • Regulatory compliance
  • Safety-critical operations
  • Security-sensitive operations

AI-generated content, recommendations, analyses, and advisor outputs are provided solely for informational and collaboration purposes and do not constitute legal, financial, accounting, tax, employment, medical, regulatory, or other professional advice.

7. Security and Administration

coThink provides security and administration capabilities including:

  • Authentication controls
  • Multi-factor authentication
  • Passkeys
  • Role-based access controls
  • Audit-oriented records
  • Encrypted secret storage
  • Optional encrypted-room workflows

You are responsible for configuring and using available security controls appropriately.

You must promptly notify coThink if you believe an account, credential, authentication factor, provider integration, or workspace has been compromised.

For encrypted-room features, encryption keys may remain exclusively under customer control.

Loss of encryption keys, passkeys, recovery methods, or related credentials may result in permanent loss of access to encrypted content.

coThink may be unable to recover encrypted content where customer-controlled keys are unavailable.

8. Acceptable Use

You may not use the Services to:

  • Violate any law or regulation.
  • Infringe intellectual property rights.
  • Distribute malware or harmful code.
  • Conduct phishing, fraud, or deceptive practices.
  • Send spam or unsolicited communications.
  • Abuse AI systems.
  • Generate unlawful or harmful content.
  • Interfere with other users or services.
  • Circumvent security controls.
  • Reverse engineer protected systems except where permitted by law.
  • Overload infrastructure.
  • Conduct unauthorized scraping or automated attacks.
  • Build a competing service through unauthorized copying of non-public features, workflows, designs, or functionality.

9. Billing and Plans

Paid subscriptions, usage limits, renewals, taxes, cancellations, upgrades, downgrades, trials, refunds, and plan-specific benefits are governed by the terms presented at purchase or within your account.

Unless otherwise required by law, fees are non-refundable.

AI provider charges are separate from coThink subscription fees unless expressly stated otherwise.

You are solely responsible for charges arising from:

  • Connected AI providers
  • API usage
  • Cloud infrastructure
  • Third-party integrations
  • External services connected through the platform

10. Third-Party Services and Integrations

The Services may integrate with third-party systems including:

  • AI providers
  • Identity providers
  • Calendars
  • Messaging systems
  • Storage providers
  • Payment processors
  • Monitoring systems
  • Collaboration tools

Your use of such services is governed by the applicable third-party terms.

coThink is not responsible for:

  • Third-party availability
  • Third-party security practices
  • Third-party data processing
  • API changes
  • Pricing changes
  • Service interruptions
  • Changes in third-party terms

11. Beta, Preview, and Experimental Features

coThink may offer alpha, beta, preview, experimental, or early-access features.

Such features:

  • May be incomplete.
  • May contain defects.
  • May change without notice.
  • May be discontinued at any time.
  • May not be subject to service commitments applicable to generally available features.

Use of such features is at your own risk.

12. Intellectual Property

coThink and its licensors retain all rights, title, and interest in and to:

  • Software
  • Designs
  • Documentation
  • Trademarks
  • Service content
  • Workflows
  • Platform features

Except for the limited rights expressly granted herein, these Terms do not transfer ownership of coThink intellectual property.

Feedback, suggestions, recommendations, and ideas submitted to coThink may be used without restriction or compensation, provided such use does not transfer ownership of Customer Content.

13. Data Export and Deletion

Workspace owners may export Customer Content using available export functionality.

Following termination of an account or workspace, Customer Content may be retained for a limited period for:

  • Backup recovery
  • Security purposes
  • Fraud prevention
  • Legal compliance
  • Operational continuity

Thereafter, Customer Content may be deleted according to applicable retention schedules and operational processes.

14. Service Changes, Suspension, and Termination

coThink may modify, suspend, discontinue, replace, or remove portions of the Services, including:

  • Features
  • Integrations
  • Provider support
  • Pricing models
  • Service components
  • Experimental capabilities

We will make reasonable efforts to minimize material disruption where practical.

We may suspend or terminate access if:

  • These Terms are violated.
  • Fees remain unpaid.
  • Security risks arise.
  • Legal obligations require action.
  • Use of the Services threatens coThink, users, providers, or third parties.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE FULLEST EXTENT PERMITTED BY LAW, COTHINK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • AVAILABILITY
  • ERROR-FREE OPERATION

coThink does not warrant that:

  • The Services will be uninterrupted.
  • Outputs will be accurate.
  • Integrations will remain available.
  • Recommendations will be correct.
  • Workflows will produce desired outcomes.

Unless expressly stated in a separate written agreement, coThink does not provide any uptime guarantee, service-level commitment, response-time guarantee, recovery objective, or support-response commitment.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COTHINK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, OR LOST BUSINESS OPPORTUNITIES.

TO THE FULLEST EXTENT PERMITTED BY LAW, COTHINK'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID TO COTHINK BY THE CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless coThink, its affiliates, officers, employees, contractors, licensors, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

  • Customer Content;
  • Your use of the Services;
  • Violations of these Terms;
  • Violations of applicable law;
  • Violations of third-party rights;
  • Actions taken through your account or workspace.

18. Copyright Complaints

coThink respects intellectual property rights.

We may remove or restrict access to content alleged to infringe copyrights, trademarks, or other rights.

Copyright complaints may be submitted through designated legal or support channels.

19. Export Compliance

You may not use the Services in violation of applicable export-control laws, sanctions laws, or trade restrictions.

You represent that neither you nor your organization is prohibited from receiving the Services under applicable laws.

20. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Utility failures
  • Labor disputes
  • Internet outages
  • Cloud-provider failures
  • Cyberattacks
  • Government actions
  • War
  • Civil unrest
  • Similar force majeure events

21. Assignment

coThink may assign or transfer these Terms in connection with:

  • A merger
  • Acquisition
  • Corporate reorganization
  • Financing transaction
  • Sale of assets

You may not assign your rights or obligations under these Terms without prior written consent.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware.

The parties consent to the jurisdiction and venue of those courts.

23. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Services and supersede all prior discussions, understandings, representations, and agreements relating to the Services.

25. Changes to These Terms

coThink may update these Terms from time to time.

Updated versions will be posted with a revised effective date.

Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
